Data brokering and data licensing: evaluating business data for AI

The difference between data brokering and licensing, the criteria to assess, and how to prepare a dataset with context and appropriate usage rights.

Data brokering connects organizations that hold data with those seeking to use it. Data licensing grants a defined right to use that data under contractual terms. For AI, the opportunity is not about selling any file: a dataset must demonstrate usefulness, quality, provenance, and rights compatible with the buyer’s intended purpose.

What the market has already documented

On April 29, 2024, the Financial Times announced a partnership and licensing agreement with OpenAI, including attributed content in ChatGPT and product collaboration. This is a public example of negotiating content for AI applications. It does not show that every company’s operational datasets will find buyers or follow the same commercial model.

For a business, the starting question is more specific: what problem can this dataset help solve? A history of decisions, including their rationale and outcomes, may support a different type of evaluation than a list of isolated answers. That is a hypothesis about usefulness to validate, not a guarantee of demand.

Context and traceability before volume

An assessment should identify provenance, the period covered, fields, versions, and selection criteria. Check for duplicates, gaps, and whether outcomes are linked to the decisions that produced them. Document how the dataset was prepared and what information was removed. A large undocumented file may be less useful than a smaller, consistent subset.

Hypothetical example: a support operation holds requests, handoffs, and resolutions. A useful sample for evaluating classification could include a category, the necessary context, and a validated outcome. Personal identifiers and confidential content should not be included merely for convenience; eligibility and safeguards must be examined before any sharing.

Holding a file is not enough to license it

Data may involve third-party rights, confidentiality obligations, and personal information. Permission to access a tool does not automatically authorize reusing its content for AI training. Before negotiating, review contracts, the provenance of materials, restrictions, and the intended purpose.

Where personal data is involved, the assessment must consider Brazil’s LGPD and an applicable legal basis. Anonymization is not just deleting names: context may still identify individuals. Legal and technical analysis must be specific; this article does not provide blanket authorization to commercialize personal data.

What the license should define

Negotiations should describe the dataset, permitted and prohibited uses, term, access, any exclusivity, and sublicensing rights. They should also address updates, security, audits, termination, and what happens to copies. Evaluation, retrieval, and training should not be treated as one undifferentiated permission.

Define delivery acceptance criteria: format, documentation, completeness, and how records outside the agreed scope will be handled. Where technical limits make removing previously used data difficult, discuss them before signing. A label such as “data for AI” does not resolve these conditions.

Assessing an opportunity without inventing prices

Investigate demonstrable usefulness, sample quality, preparation costs, restrictions, and concrete interest from potential buyers. Headcount and years in operation may help explore a scenario, but they do not replace this diligence. An illustrative calculator is not an economic valuation, quote, or promise of a sale.

Hypothetical example: a company has 100,000 records, but only 15,000 include context, verifiable provenance, and complete outcomes. The assessment should focus on the eligible subset and its preparation cost. Multiplying all 100,000 records by an assumed fixed price would hide the very limitations a buyer needs to examine.

Starting with a controlled sample

Create an inventory without sending the entire database: describe sources, purpose, period, and restrictions. Then assess rights and risks, prepare a minimal sample, and test its usefulness for a defined application. Brokering moves forward only when preparation, permissions, and commercial terms are compatible. Nexus evaluates and prepares these opportunities without guaranteeing a sale or compensation.
